SELLER TERMS & CONDITIONS

These Seller Terms & Conditions (“Seller Terms”) govern your participation as a seller (“Seller,” “you,” or “your”) on NonToxicEarth.com (the “Marketplace”), operated by NonToxicEarth Inc. (“NontoxicEarth,” “we,” “us,” or “our”).

By creating a seller account or listing products on the Marketplace, you agree to be bound by these Seller Terms, the Terms & Conditions, Privacy Policy, and Seller Privacy & Data Use Addendum (collectively, the “Platform Policies”).

1. Marketplace Role & Relationship

NontoxicEarth provides a technology platform only.

  • You sell directly to buyers (“Buyers”)
  • You are the merchant of record
  • NontoxicEarth is not a party to sales transactions

Nothing in these Seller Terms creates an agency, partnership, joint venture, or employment relationship.

2. Seller Eligibility & Account Requirements

To sell on NontoxicEarth, you must:

  • Be at least 18 years old
  • Be legally authorized to sell the products you list
  • Provide accurate business, tax, and payment information
  • Maintain a valid Stripe and/or PayPal account

You are responsible for all activity conducted through your seller account.

3. Product Listings & Compliance

You agree that all products:

  • Are accurately described and fairly priced
  • Comply with all federal, state, and local laws
  • Are safe, legal, and non-toxic as represented
  • Do not infringe intellectual property rights

Prohibited Products

You may not list:

  • Illegal or regulated goods without authorization
  • Counterfeit or misleading products
  • Products with false health, safety, or environmental claims

NonToxicEarth may remove listings at its discretion.

4. Orders, Fulfillment & Shipping

Sellers are solely responsible for:

  • Accepting and fulfilling orders
  • Packaging and shipping products promptly
  • Providing accurate tracking information
  • Handling delivery issues and lost shipments

NonToxicEarth does not guarantee delivery times.

5. Refunds, Returns & Chargebacks

🚨 IMPORTANT – SELLER RESPONSIBILITY

A. Seller Refund & Return Obligations

You are solely responsible for:

  • Establishing clear refund and return policies
  • Displaying those policies accurately on your listings
  • Processing refunds and returns in compliance with applicable law

All refunds and returns are handled directly between Seller and Buyer.

B. Non-Refundable Items

If you offer non-refundable items, this must be:

  • Clearly disclosed prior to purchase
  • Compliant with consumer protection laws

C. Chargebacks & Payment Disputes

You are responsible for:

  • Chargebacks, disputes, and reversals
  • Providing documentation requested by Stripe or PayPal
  • Any fees or losses resulting from disputes

NonToxicEarth may deduct disputed amounts from future payouts.

6. Taxes

You are solely responsible for:

  • Determining, collecting, reporting, and remitting all applicable taxes
  • Compliance with sales tax, VAT, or similar obligations

NonToxicEarth does not provide tax advice.

7. Seller Use of Buyer Data

Seller access to buyer personal information is limited to:

  • Order fulfillment
  • Customer service related to the transaction

Sellers may not:

  • Add buyers to marketing lists without consent
  • Sell or share buyer data
  • Retain buyer data longer than necessary

Failure to comply may result in suspension or termination.

8. Fees & Payments

  • Platform fees and commissions are disclosed separately
  • Payment processing fees apply
  • Payout schedules are subject to verification and fraud prevention

NontoxicEarth reserves the right to withhold or delay payouts for compliance, disputes, or risk management.

9. Seller Representations & Warranties

You represent and warrant that:

  • You have the legal right to sell listed products
  • Your listings are truthful and not misleading
  • Your products comply with all applicable laws

10. Indemnification

You agree to indemnify and hold harmless NonToxicEarth, its officers, directors, employees, and agents from any claims arising from:

  • Your products or listings
  • Refunds, returns, or chargebacks
  • Breach of these Seller Terms
  • Violation of laws or third-party rights

11. Limitation of Liability

To the maximum extent permitted by law:

NontoxicEarth shall not be liable for:

  • Lost sales or profits
  • Product defects or safety issues
  • Buyer disputes or refunds

Our total liability shall not exceed the fees paid to NontoxicEarth by you in the preceding 12 months.

12. Suspension & Termination

We may suspend or terminate your seller account if you:

  • Violate these Seller Terms
  • Engage in fraudulent or deceptive conduct
  • Receive excessive disputes or complaints

Termination does not relieve you of outstanding obligations.

13. Modifications

We may update these Seller Terms at any time. Continued selling constitutes acceptance of the updated terms.

14. Governing Law & Dispute Resolution

These Seller Terms are governed by the law, without regard to conflict-of-law rules.

Any disputes shall be resolved through binding arbitration, except where prohibited by law.
